Manage Clauses

Upload documents into Contract Management and Document Intelligence.
You can tag and associate clauses in Contract Management and Document Intelligence to save time, ensure compliance, streamline your contract review process, and support better management of contractual stipulations.
  1. Click
    Documents
    .
  2. Select the document that contains the clause that you would like to tag.
  3. Click
    Contents
    .
  4. Find and highlight the clause.
  5. Select:
    • Tag a Clause
      for PDF documents.
    • Edit > Quick AI
      for Word documents.
  6. In the
    Clause
    field, select or create a clause tag.
  7. From the
    Apply Sample To
    prompt, select:
    • This and other documents
      : Contract Management and Document Intelligence locates and tags the same clause across all current and future documents in your collection.
    • Only this document
      : Contract Management and Document Intelligence doesn't apply the tag to other documents.
    If you apply the tag to current and other documents, Contract Management and Document Intelligence can locate and tag the same clause across all current and future documents within your collection.
  8. From the

The newly tagged clauses are searchable within 30 minutes.
Use the Contract Management and Document Intelligence Search console to monitor and refine the tagged clauses.
Your company has historically used 2 versions of the same IP ownership clause:
  • Version 1 (V1): Intellectual Property Ownership. Both Customer and Genesys Blue will own and retain all rights to any of their pre-existing inventions, patents, copyrights, trademarks, or other intellectual property rights and any intellectual property developed independently of services performed under this Agreement.
  • Version 2 (V2): Intellectual Property Ownership. Both Customer and Genesys Blue will own and retain all rights to their pre-existing IP and any IP developed independently of services performed under this Agreement.
Instead of training 2 separate models for V1 and V2, train 1 model to identify all instances of the IP Ownership clause. Use search to distinguish between V1 and V2 by looking for key phrases. To find contracts with V1, search for “pre-existing inventions, patents, copyrights, trademarks, or other intellectual property rights.” If this phrase is present, it indicates the clause is V1; otherwise, it's likely V2.
You can detect publicity clauses by:
  • Using Contract Management and Document Intelligence's built-in algorithm. You can expand the model's recognition by tagging more clauses. When the Contract Management and Document Intelligence model and your new model tag the same text, the tags merge into a single Publicity tag.
  • Creating a separate model. Example: Create a model named Publicity - Genesys Blue. You can use this when you need a more specific version of the clause to capture only what's relevant to you.
